Introduction
These Terms of Service ("Terms") govern your access to and use of the products and services provided by SEORCE, Inc. ("SEORCE", "we", "us", or "our"), a company incorporated under the laws of the State of Delaware, with its principal place of business at 131 Continental Dr Suite 305, Newark, DE 19713, United States.
By creating an account, accessing, or using the SEORCE platform, you agree to be bound by these Terms. If you are using SEORCE on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
Acceptance & Modifications
By accessing SEORCE you accept these Terms in their entirety. We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the platform at least 14 days before the change takes effect. Your continued use of SEORCE after that date constitutes acceptance of the updated Terms.
If you do not agree with any modification, your sole remedy is to discontinue use of the service and cancel your subscription before the effective date of the change.
Eligibility & Account Registration
To use SEORCE you must be at least 13 years of age (or 16 in the European Economic Area). If you are under 18, you must have verifiable parental or guardian consent. By registering, you confirm that all information you provide is accurate and that you will keep it current.
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@seorce.com if you become aware of any unauthorised access to your account. You are liable for all activity that occurs under your account.
SEORCE may suspend or terminate accounts where registration information is found to be inaccurate, incomplete, or fraudulent.
Use of the Service
SEORCE grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your internal business purposes, subject to these Terms and the plan limits applicable to your subscription.
You may not: sub-licence, sell, resell, or commercially exploit the service beyond what your plan explicitly permits; reverse engineer, decompile, or disassemble any part of SEORCE; use automated means to scrape or extract data in a manner that circumvents our API rate limits; or use the service to compete with SEORCE by building substantially similar products.
Fair Use & System Integrity
All plans are subject to fair use limits designed to ensure platform performance and equitable access across all users. We reserve the right to throttle, suspend, or terminate access if usage materially exceeds plan limits or negatively impacts the experience of other users. We will make reasonable efforts to notify you before taking such action.
AI-Generated Outputs
SEORCE uses artificial intelligence and large language models to produce outputs including keyword suggestions, content drafts, diagnostic analyses, and recommendations. These outputs are generated automatically and may contain inaccuracies, omissions, or content that requires human review before use.
You are solely responsible for evaluating, editing, and approving any AI-generated output before publishing or relying on it. SEORCE makes no warranty that AI outputs are accurate, complete, or fit for any particular purpose. Copyright in AI-generated content may be limited or unavailable in some jurisdictions; we recommend legal review before asserting copyright over such content.
Features & Product Evolution
SEORCE is a continuously developed platform. We may add, modify, or remove features at any time. We will endeavour to provide reasonable notice of changes that materially affect workflows you depend on. Features labelled "Beta" or "Preview" are provided as-is without warranty and may be discontinued without notice.
Service Levels & Access Priority
We target 99.5% monthly uptime excluding scheduled maintenance. In the event of extended downtime attributable to SEORCE, we may at our discretion issue service credits. These credits are your sole remedy for service interruptions and do not constitute a warranty of any specific uptime level.
Enterprise customers are subject to a separate Service Level Agreement which, where it conflicts with these Terms, takes precedence.
Acceptable Use
You must not use SEORCE to: violate any applicable law or regulation; transmit or store malicious code; harass, abuse, or harm any person; impersonate any individual or entity; infringe the intellectual property rights of any third party; generate, store, or transmit content that is defamatory, obscene, or otherwise unlawful; or attempt to probe, scan, or test the vulnerability of the SEORCE platform without prior written authorisation.
Violation of this section may result in immediate suspension or termination of your account without refund.
Subscriptions & Billing
SEORCE is offered on a recurring subscription basis. By subscribing, you authorise SEORCE to charge your chosen payment method on a recurring monthly or annual basis until you cancel. All fees are stated in US dollars and are exclusive of applicable taxes unless stated otherwise.
Payment processing is handled by Stripe, Inc. ("Stripe"), a PCI DSS Level 1 certified payment processor. By providing your payment details you agree to Stripe's Terms of Service and authorise Stripe to store and process your payment information on our behalf. SEORCE does not store full card numbers on its own servers.
Subscription fees are charged at the beginning of each billing cycle. If a payment fails, we will attempt to re-process it up to three times before suspending access to your account.
Cancellation & Refund Policy
You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you retain full access until then. We do not issue refunds for partial billing periods except where required by applicable law or at our sole discretion in exceptional circumstances.
Annual subscriptions are non-refundable after 14 days of the initial purchase or renewal date. Monthly subscriptions cancelled within 48 hours of charge may be eligible for a refund on a case-by-case basis. Contact billing@seorce.com to request a refund.
Usage-Based Access
Certain features are metered based on usage (prompts run, keywords tracked, pages crawled, content pieces generated). Usage limits are defined per plan and displayed in your account dashboard. Exceeding limits may result in feature throttling or prompts to upgrade. We will not charge overage fees without your explicit consent.
Intellectual Property
SEORCE and all associated software, algorithms, designs, trade marks, and documentation are owned by SEORCE, Inc. or its licensors and are protected by intellectual property laws. These Terms do not grant you any ownership rights in the platform.
You retain ownership of all data you input into SEORCE ("Customer Data"). By using SEORCE, you grant us a limited licence to process your Customer Data solely to provide and improve the service. We do not sell your Customer Data to third parties.
User Content
Any content you submit to SEORCE — including brand assets, training data, feedback, or feature suggestions — you grant SEORCE a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, and incorporate into the service. This licence does not affect your ownership of that content.
You represent and warrant that you have all rights necessary to grant this licence and that your content does not infringe the rights of any third party.
Third-Party Services & Links
SEORCE integrates with third-party services including Google Search Console, Google Analytics 4, Stripe, and others. Your use of these integrations is subject to the respective terms and privacy policies of those providers. SEORCE is not responsible for the practices or content of any third-party service.
The platform may contain links to external websites. These links are provided for convenience only; their presence does not constitute endorsement by SEORCE of the linked site or its content.
Privacy & Data
Your use of SEORCE is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using SEORCE, you consent to the collection and processing of information as described in that policy.
SEORCE complies with applicable data protection laws including the GDPR and the CCPA. You may exercise your data rights as described in the Privacy Policy or by contacting privacy@seorce.com.
Disclaimers & Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEORCE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete. SEO and AI visibility outcomes depend on many factors outside our control and cannot be guaranteed.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEORCE, INC. AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
SEORCE's total cumulative liability to you for any claims arising from these Terms or your use of the service shall not exceed the greater of: (a) the total fees you paid to SEORCE in the 12 months preceding the event giving rise to the claim, or (b) USD $100.
Indemnification
You agree to indemnify, defend, and hold harmless SEORCE, Inc. and its officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: your breach of these Terms; your use of the service in violation of applicable law; your content; or your infringement of any third-party rights.
Term & Termination
These Terms remain in effect for as long as you maintain an account with SEORCE. Either party may terminate the relationship at any time. Upon termination, your right to access the service ceases immediately. We will retain your data for 90 days following termination to allow export, after which it will be deleted in accordance with our Privacy Policy.
We may suspend or terminate your account immediately without notice if we determine you have violated these Terms, are engaged in fraudulent activity, or pose a risk to the security of the platform or other users.
Provisions that by their nature should survive termination — including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.
Promotional & One-Time Access Plans
SEORCE may offer promotional plans, lifetime deals, or limited-access products through third-party platforms (e.g. AppSumo). These plans are subject to their own terms in addition to these Terms. Promotional plan terms are non-transferable and may include feature caps, usage limits, or validity windows that differ from standard subscriptions.
SEORCE reserves the right to modify or discontinue promotional plans with 60 days' notice. Lifetime and one-time deals are honoured for the life of the product as commercially defined — not in perpetuity if the product is sunset.
General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and SEORCE and supersede all prior agreements.
Severability. If any provision is found unenforceable, the remainder continues in full force.
Waiver. Failure by SEORCE to enforce any right does not constitute a waiver of that right.
Assignment. You may not assign your rights under these Terms without our prior written consent. SEORCE may assign its rights in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delays or failures caused by events beyond their reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
No third-party beneficiaries. These Terms do not confer any rights on any third party.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Binding arbitration. Any dispute arising out of or relating to these Terms or the service shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely, and the arbitrator's award shall be final and enforceable in any court of competent jurisdiction.
You agree to resolve any disputes with SEORCE on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration. This waiver is a material inducement for SEORCE to provide you with access to the service.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court to prevent irreparable harm pending arbitration.
