Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you and Jaggery Consulting Private Limited (operating as SEORCE, "we", "us", or "our"), governing your access to and use of the SEORCE website, platform, APIs, and all related products, features, analytics, and services (collectively, the "Service" or "Platform").
By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are using SEORCE on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
Acceptance & Modifications
Acceptance. By using the Platform, you represent and warrant that you have the legal capacity to enter into these Terms and that you will comply with all applicable laws and regulations.
Modifications. We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Changes are effective immediately upon posting. We will make reasonable efforts to notify you of material changes via email or prominent in-product notice. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
Eligibility & Account Registration
Eligibility. To use the Platform, you must be at least the minimum age of digital consent in your jurisdiction โ 13 years of age in the United States, 16 years of age in the European Union (unless lowered by applicable member state law), or the applicable minimum age in your jurisdiction. If you are under the age of 18 or the age of majority in your jurisdiction, you must have verifiable parental or legal guardian consent. You must have the legal authority to enter into binding contracts and must not be prohibited from using the Platform under applicable laws or regulations.
Registration. To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorised by you. You agree to notify us immediately of any unauthorised access to or use of your account.
Use of the Service
SEORCE provides tools for AI search visibility tracking, SEO analysis and optimisation, keyword and content intelligence, technical site health monitoring, and web analytics. You agree to use the Service only for lawful purposes, in a manner that is professional and compliant with all applicable laws, regulations, and industry standards.
Fair Use & System Integrity
SEORCE operates on shared infrastructure including AI processing pipelines, data crawling systems, and third-party API integrations. To ensure consistent performance for all users, we reserve the right to apply rate limits or throttling, queue or delay processing during peak demand, and restrict usage that is excessive, automated beyond intended use, or abnormal in pattern. We will make reasonable efforts to notify you before restricting access where practicable.
AI-Generated Outputs
SEORCE uses artificial intelligence to generate insights, recommendations, analysis, and content. You acknowledge that AI-generated outputs may be incomplete, inaccurate, or not suited to your specific circumstances. Results are not guaranteed and should be independently reviewed before informing significant decisions.
Copyright. Content generated by the Platform using AI may not be eligible for copyright protection under applicable law. You are solely responsible for determining whether AI-generated content is protectable and for ensuring your use complies with all applicable laws, regulations, and third-party rights.
Features & Product Evolution
We continuously invest in improving SEORCE. We may modify, enhance, or discontinue features at any time. We may introduce new features and classify existing or new capabilities as premium, enterprise, or add-on tiers. We aim to maintain core platform functionality while evolving the product. Where a material feature is being discontinued, we will make reasonable efforts to provide advance notice.
Service Levels & Access Priority
System performance, processing speed, and feature availability may vary based on usage patterns, infrastructure load, and your plan type. Certain capabilities, data refresh rates, or processing resources may be prioritised for higher-tier plans. Enterprise customers may be eligible for dedicated SLA commitments through a separate written agreement.

Subscriptions & Billing
Certain features are available only through paid subscription plans. Your billing cycle begins on the date you subscribe and renews automatically each month or year unless cancelled before the renewal date. By subscribing, you authorise SEORCE to charge your payment method on a recurring basis until you cancel.
All payments are processed securely through third-party payment processors. By providing payment information, you represent that you are authorised to use the designated payment method and authorise us to charge all applicable fees to that method.
We reserve the right to modify subscription pricing at any time. Existing subscribers will receive at least 30 days' advance notice before price changes take effect on their accounts. Continued use after the effective date constitutes acceptance.
All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes, except those based on our net income. Where required by law, we will add applicable taxes to your invoice.
If a payment fails, we will attempt to process it again. If payment cannot be collected after reasonable attempts, access to paid features may be restricted or suspended until the outstanding balance is resolved.
Cancellation & Refund Policy
Cancellation. You may cancel your subscription at any time through your account settings or by contacting support@seorce.com. Cancellation takes effect at the end of your current billing period; you retain access until that date.
Exceptions. We may, at our sole discretion, offer refunds or credits in exceptional circumstances such as technical errors, billing errors, or extended platform outages caused by SEORCE infrastructure failures. Such decisions are made case by case and do not constitute a general entitlement or create any obligation for future refunds.
One-time purchases. Promotional, lifetime, or one-time purchase plans are non-refundable once activated. Please review plan specifications carefully before purchase.
Statutory rights. Nothing in this section limits or excludes any statutory rights you may have under applicable consumer protection laws, including rights to refunds or cancellations that cannot be waived by contract.
Usage-Based Access
Some features may be subject to usage-based limits, monthly quotas, or add-on pricing โ including but not limited to AI processing credits, keyword tracking volumes, crawl capacity, and content generation outputs. We reserve the right to introduce or modify usage-based pricing tiers as the platform evolves.
Intellectual Property
All content, features, functionality, software, designs, graphics, text, logos, trademarks, algorithms, and materials available on or through the Platform are owned by Jaggery Consulting Private Limited or its licensors and are protected by applicable intellectual property laws including copyright, trademark, patent, and trade secret laws.
Limited licence. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal or internal business purposes. This licence does not include rights to reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit the Platform or its content without our express written permission.
Feedback. If you provide us with any feedback, suggestions, or ideas regarding the Platform, you hereby assign to Jaggery Consulting Private Limited all rights, title, and interest in such feedback. We may use feedback for any purpose without obligation or compensation to you.
User Content
You retain ownership of any content you submit to the Platform, including prompts, inputs, files, and data. By submitting user content, you grant Jaggery Consulting Private Limited a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purposes of providing, operating, improving, and promoting the Platform.
You represent and warrant that you have all rights, licences, and permissions necessary to grant this licence, and that your content does not violate any third-party rights or applicable laws.
Third-Party Services & Links
Third-party integrations. The Platform integrates with third-party services including payment processors, AI model providers, analytics services, and other tools. Your use of third-party services is governed by the terms and privacy policies of those third parties. We do not control third-party services and are not responsible for their content, accuracy, availability, security, or performance, nor do we endorse them.
External links. The Platform may contain links to third-party websites provided for convenience only. We have no control over the content or practices of third-party websites and are not responsible for any loss or damage arising from your use of such sites. We strongly advise you to review the privacy policy of every site you visit.
Privacy & Data
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. You retain ownership of all data you input into or generate through SEORCE. We will never sell your identifiable data to third parties.
Disclaimers & Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, SEORCE disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, reliability, or quality of any content, data, or information provided by the Platform, including AI-generated content. Your use of the Platform is at your sole risk.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Jaggery Consulting Private Limited, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any and all claims arising out of or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the total amount paid by you to SEORCE in the twelve months preceding the event giving rise to liability, or (b) one hundred US dollars (USD $100).
Indemnification
You agree to indemnify, defend, and hold harmless Jaggery Consulting Private Limited, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, partners, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to: (a) your use of or inability to use the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) your user content or any content you submit; or (e) any activity conducted under your account, whether authorised by you or not. We reserve the right to assume exclusive control of the defence of any claim subject to indemnification, at your expense.
Term & Termination
Term. These Terms commence on the date you first access or use the Platform and continue until terminated.
Termination by you. You may terminate these Terms at any time by discontinuing use of the Platform and closing your account. Upon termination you will no longer have access to your account or associated data.
Termination by us. We reserve the right to suspend, restrict, or terminate your access at any time, including but not limited to: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) prolonged inactivity; (d) requests by law enforcement or government agencies; or (e) technical or security issues. We may terminate with or without prior notice depending on the nature of the violation.
Surviving provisions. Upon termination, all rights and licences granted to you cease immediately. Sections 11 (Refunds), 13 (Intellectual Property), 14 (User Content), 17 (Disclaimers), 18 (Liability), 19 (Indemnification), and 23 (Governing Law) survive termination.
Promotional & One-Time Access Plans
From time to time, SEORCE may offer access through promotional, lifetime, or one-time purchase arrangements. Such access is subject to defined usage limits and plan specifications at the time of purchase, may differ in scope from current or future subscription plans, and does not guarantee access to all future features, AI capabilities, or platform infrastructure. Promotional access plans remain subject to these Terms in full, including fair use policies, acceptable use requirements, and our right to evolve the platform.
General Provisions
Entire agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SEORCE regarding your use of the Platform and supersede all prior agreements, whether written or oral.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right shall not constitute a waiver of such right.
Assignment. You may not assign, transfer, or delegate these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms at any time without restriction or notice to you.
Force majeure. We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, government actions, pandemics, or interruptions in telecommunications or internet services.
No third-party beneficiaries. These Terms are for the benefit of you and SEORCE only and are not intended to confer any rights or remedies on any third party.
Notices. All notices required or permitted under these Terms shall be in writing, delivered via email to the address on your account or by prominent notice through the Platform.
Governing Law & Dispute Resolution
Governing law. These Terms and any dispute arising out of or related to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Binding arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer-Related Disputes. The arbitration shall be conducted in Delaware, United States, or remotely via videoconference if mutually agreed. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
Class action waiver. You and SEORCE agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action or proceeding. Unless both parties agree otherwise, the arbitrator may not preside over any form of class or representative proceeding.
Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the infringement or misappropriation of intellectual property rights.
