Agency Intelligence
Scope creep is cheaper to prevent in the SOW than to argue about in week 4.
A good SOW states what is in scope, what is out of scope, what the client must provide, and what triggers a change order. Weak SOWs skip the second half. This generator forces the sections most agency contracts miss and produces a document that holds up when the client's procurement team reads it.

Frequently asked questions
What does a SOW cover?
Scope of work, deliverables, timeline, pricing, assumptions, exclusions, change control, and approval. Everything needed to protect both parties.
What is the difference between SOW and MSA?
MSA (Master Services Agreement) is the overall legal contract between parties. SOW is per-project under the MSA. Many agencies use both.
Should every engagement have a SOW?
Yes, including retainers. The SOW defines what the retainer delivers.
What is "out of scope"?
Explicit list of what the SOW does NOT cover. Prevents scope creep by making the boundary clear.
What is "client responsibilities"?
What the client must do or provide. Delays caused by client not delivering are not the agency's fault.
What is "change control"?
The documented process for adding scope mid-engagement. Protects both parties from informal "can you just..." requests.
How detailed should deliverables be?
Specific enough that both parties know when the deliverable is done. Vague deliverables lead to disputes.
Should termination clauses be in the SOW?
Typically in the MSA. SOW can override for the specific engagement. Standard: 30 to 60 days written notice.
Can I use the SOW for client approval?
Yes. The Markdown or printable HTML output is signature-ready. Many clients prefer PDF.
What jurisdictions does the template cover?
The template is jurisdiction-neutral. Specify your governing law in the top matter.
Is this a legal document?
The generator produces a draft. Legal review is recommended before signing anything substantive.
